Terms of Service

1. Acceptance of Terms

By accessing this website, submitting an inquiry, or engaging NITIX Digital Co. ("Agency") for services, you agree to be legally bound by these Terms of Service, our Privacy Policy, and any project-specific Service Level Agreements (SLAs) or Scope of Work (SOW) documents.

2. Services & Project Scope

NITIX Digital Co. delivers professional B2B digital growth solutions including Search Engine Optimization (SEO), Paid Advertising (PPC/Google Ads/Meta Ads), Custom Web Development, Marketplace Management (Amazon, Flipkart, Meesho), Brand Identity Design, and Corporate Academy Training.

Specific deliverables, timelines, milestone schedules, and compensation terms will be defined in written proposals or statements of work executed between the Agency and Client.

3. Client Responsibilities

To ensure project momentum and optimal campaign performance, the Client agrees to:

• Provide required brand assets, domain/hosting access credentials, content inputs, and feedback in a timely manner.
• Designate a primary point of contact authorized to make operational approvals.
• Ensure that all materials, imagery, and text provided to the Agency do not infringe upon third-party copyrights or intellectual property.

4. Invoicing, Payments & Taxes

Service fees are billed as outlined in project estimates or monthly retainer agreements. All invoices are subject to applicable Goods and Services Tax (GST) under Indian tax laws. Monthly retainer services require advance billing prior to campaign execution cycles.

5. Intellectual Property Rights

Upon receipt of 100% full payment for completed projects, the Client owns all final deliverable website designs, visual collateral, and approved copy produced specifically for the engagement. NITIX Digital Co. retains ownership of pre-existing proprietary frameworks, reusable code libraries, methodologies, and internal agency tools.

6. Warranties & Limitation of Liability

While NITIX Digital Co. employs proven, white-hat marketing and engineering methodologies, search engine rankings and advertising auction costs are influenced by external algorithm updates (such as Google Core updates or Meta Ads auctions) outside direct agency control. Consequently, specific ranking positions cannot be unconditionally guaranteed.

In no event shall NITIX Digital Co. be liable for any indirect, incidental, or consequential damages resulting from platform downtime, third-party hosting failures, or algorithm changes.

7. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any legal disputes or claims arising out of this agreement shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan.
